Japan Air Gases and Toshiba sign an agreement to collaborate on Analytical
Services such as physical analyses and analytical evaluations for the electronic
devices manufacturing market.
Japan Air Gases Ltd. (JAG) and Toshiba Corporation (TSB) are pleased to announce that they have signed a Memorandum of Understanding (MOU) to establish a partnership that will provide services of analyzing & evaluating products and materials primarily to the Electronics (ICs, LCDs) and other Advanced industries.
Based on the MOU, JAG and TSB will closely cooperate to manage the development of their Analytical Services joint venture which will be created through the partial acquisition by JAG of shares of Toshiba Nano-Analyis (TNA) while TSB will retain 49%. TNA is currently a 100% subsidiary of TSB engaged in the Analytical Services business. The deal is scheduled to be completed in November 2006. Further details are to be decided.
The Electronics and other Advanced Industries are growing very rapidly, requiring higher integration of devices, larger scale of manufacturing, greater diversity of materials used, and shorter lead time for new products. In this environment, physical and chemical analyses as well as evaluations are required at all steps from design, to manufacturing including process development with fast response time, cost effectiveness and high level of technologies.
The partnership will enable JAG to realize business synergies with its existing supply of gases and services (such as on site operations and Total Gas Management) to the Electronics manufacturing industries. By bringing in a partner in TNA and expanding its business scale, TSB will be able to increase its market competitiveness in Electronics Devices by benefiting from an increased efficiency and technological capability of the analytical services for its own products.
TNA, under the new structure, will target to become a leading player with high level of technical and service capabilities in the Japanese and Asian markets. JAG and Toshiba will focus to develop the new Joint Venture by respectively contributing the full support of their marketing and technology capabilities.
